TERMS AND CONDITIONS

GENERAL
Welcome to Genero Media's Partner Success Program. You as a member or owner of a Minuteman Press location will hereby be referred to as a “Partner.” By clicking on “I agree with the Terms and Conditions” you are hereby agreeing to the following:

USE OF TECHNOLOGIES
Genero Media agrees to provide access to two of its proprietary technologies, WebMaaSter and Pro Mobilizer. Minuteman Press shall not be an owner of any copies of these technologies, but rather is licensed pursuant to this Agreement to use these technologies for the sole purpose of utilizing Genero Media's services. Minuteman Press agrees not to decompile or otherwise copy or use the licensed software to reverse engineer the software.

PORTAL
The Partner will receive access to an online portal to be maintained by Genero Media. Access will be provided by Genero Media. The Portal shall only be used for Minuteman Press services. Access to the Portal should be limited to employees of the Partner. Access to the Portal may be suspended for misuse or misconduct of the Portal, its technologies or Genero Media services.

TRAINING
The Partner will receive up to 10 hours of Online Training in various internet marketing courses.

CLIENTS
All clients will remain the Partners clients. Genero Media will not communicate with the client directly without permission from the Partner. The Partner will not provide deadlines or make promises on projects on behalf of Genero Media. Genero Media will do its best to meet deadlines, however, circumstances may cause a delay in a project. Genero Media will keep the Partner informed of such delays that may occur. Genero Media will not be held liable for its failure to perform any of its obligations under this Agreement, during any period in which such performance is delayed because such services were rendered impracticable or impossible due to circumstances beyond the party's reasonable control, provided that the party experiencing the delay promptly notices the delay.

PAYMENT
Genero Media hereby waives the training fee of $3,000.00 as per our promotion. This promotion will expire at the sole discretion of Genero Media. You hereby agree to pay a fee of $199.00 plus applicable taxes every month as a license fee to be a partner with Genero Media. The fees will be charged in US currency for partners in the US and CAD currency for partners in Canada. All payments will be charged at the 1st of the month on a recurring basis on the credit card provided by the Partner. Upon default of payment, Genero Media will provide a 10 days grace to bring the account in order. If default has surpassed 11 days, Genero Media has the right to suspend access to the Partner Success Portal for use of the technologies.

BILLING
Minuteman Press will bill the client directly. Prior to the start of a project, Genero Media will send an invoice to the Minuteman Press location for 50% of the project total. Minuteman Press agrees to pay this invoice before the start of any project. Minuteman Press has the liberty of charging its client for the full amount of the project at anytime.

TERM
The term of this agreement is for a minimum one year term to commence upon completion of your training. Upon the expiration of the one year term, the agreement will commence on a monthly term agreement.
